Financial folder

  • Monthly P&L and supporting schedules.
  • Revenue-system exports and payment statements.
  • Expense details and add-back support.
  • Inventory and working-capital schedules where relevant.

Commercial and customer folder

  • Customer concentration and cohort data.
  • Pricing history, renewals and churn where relevant.
  • Key customer or partner contracts.
  • Marketing-channel reports and attribution notes.

Operations folder

Include SOPs, owner task maps, contractor or employee roles, supplier information, support metrics and calendars for recurring operating work.

Technology and asset folder

Document domains, repositories, hosting, software stack, analytics, integrations and ownership. Do not place production passwords in a general diligence folder; use controlled credential-transfer procedures at closing.

Legal and ownership folder

Organize entity records, material contracts, IP ownership, licenses and policy documents. Limit access according to sensitivity and obtain professional guidance on privileged or personal information.

Control access and versions

Use clear filenames, date ranges and permissions. Keep a request log so the buyer and seller work from the same version of each document.
